KYBA Constitution

The Constitution of the Kanata Youth Basketball Association


Article I.               Name and Affiliation

Section 1.01
The name of this organization shall be the "Kanata Youth Basketball Association" and shall hereinafter be referred to as the KYBA or the Association.

Section 1.02
The KYBA is member association of Basketball Ontario and through Basketball Ontario to Basketball Canada.


Article II.             Aims and Objectives

Section 2.01
The aims and objectives of the KYBA shall be:
1. to promote and develop the game of basketball in and around the Kanata area;
2. to provide fun, recreation, instruction, personal development, and healthful enjoyment through activities and competition, for boys and girls, 18 years of age and under, who desire to participate in basketball, giving due consideration to the variance of individual skills and capabilities;
3. to develop and run basketball programs at instructional, house league play, competitive, and recreational levels;
4. to sponsor or conduct coaching clinics, refereeing clinics, and tournaments;
5. to operate on a non-profit basis.


Article III.            General

Section 3.01
In all matters not otherwise covered by this Constitution, the Association shall fall within the framework of Basketball Ontario, and Basketball Canada, and shall be governed by official rules published by those Associations.


Article IV.            Organization

The KYBA shall be composed of members, as defined in Article 5, and its affairs shall be governed by an Executive Committee as detailed in Articles 6 and 8 of this Constitution.
 

Article V.             Membership

Section 5.01
Membership in the KYBA includes:
a. all current members of the executive committee;
b. all current conveners and coaches in good standing;
c. all individuals over the age of 16 years who are registered and playing within the KYBA (playing members);
d. the parents or legal guardians of any playing member who is not over the age of 16 years.
e. persons who have served as executive members, coaches or conveners for ten (10) continuous years or more shall be given life member status in the KYBA.

Section 5.02
Each individual intending to become a playing member shall register with the Association prior to the commencement of the basketball season and shall, at that time, pay any fees required by the Association as defined in the By-Laws. Eligible individuals shall automatically become members of the KYBA upon proper completion of the registration form, payment of the registration fees, and acceptance of both by the KYBA. The KYBA must demonstrate just cause in refusing or involuntarily terminating any individual's registration with the KYBA. The KYBA reserves the right to refuse registration if the individual fails to meet eligibility requirements or involuntarily terminate any individual's registration for failure to meet registration requirements or for disciplinary reasons.


Article VI.            Executive Committee

Section 6.01
The business and affairs of the KYBA shall be conducted or governed by an Executive Committee who shall act in accordance with this Constitution and such By-Laws and Policies as may from time to time be enacted by the KYBA. All KYBA Policies shall be published on the KYBA website and hence available to the public.

Section 6.02
The Management Committee of the KYBA shall consist of the following members:
1. Executive Committee elected by membership at the Annual General Meeting:
o President
o Vice-President (Competitive)
o Vice-President (House League Girls)
o Vice-President (House League Boys)
o Director of Finances (Treasurer)
o Secretary
o Director of Equipment
o Director of Facilities
o Chief Referee
o Tournament Director
o Director of House Leagues Selects 
o Director of Publicity

2. Positions Appointed by the Executive Committee members:
o Director of Technical Development
o Operational Advisor
 
Section 6.03
Any individual who is a member in good standing of the KYBA in accordance with Article 5, and has reached the age or majority, shall be eligible to hold any position on the Executive Committee.

Section 6.04
In such cases where there is no member of the KYBA willing to run for a particular elected position at the time of elections, those members of the Executive Committee who are elected shall be empowered to fill the vacancy by appointment or to delegate to a committee the responsibilities of the vacant position, so long as such appointment or delegation is approved by a majority vote of the Executive Committee. However, persons appointed to fill vacant positions will not hold the voting rights of that position on the Executive Committee.

Section 6.05
Notwithstanding Section 6.02 and Section 6.03 above, the duties and responsibilities of any positions of the Management Committee, with the exception of the Executive Committee, may be assumed by any member(s) in a manner deemed fitting by the Executive Committee, provided such realignment is approved by a majority vote of the Executive Committee. For the reasons of availability of volunteers, nothing in the constitution should prevent an individual from holding more than one appointed positions on the Management Committee, under extreme circumstances. The practice must be discouraged unless absolutely necessary.

Section 6.06
The term of office for the elected members of the Executive Committee shall commence following the Annual General Meeting (AGM) and continue until the next AGM.

Section 6.07
Should any one of the elected posts become vacant, the Executive Committee shall be empowered to appoint replacement to fill the vacancy until the next AGM or to realign duties as provided for in Section 6.04 above until the next AGM.

Section 6.08
Executive committee members are expected to fulfill the duties of their position as outlined in stated duties of executives. Should an executive committee member not meet this commitment the President or one of the Vice Presidents will advise the member on behalf of the committee.  Following this notification, the executive committee member can be removed from their position by a 2/3 vote of the full executive committee.

Article VII.          Term of Office

Section 7.01
The term of office for each Executive position shall be one year. A member of the Executive may remain in office beyond three years, subject to the approval of the membership present at the Annual General Meeting.


Article VIII.         Executive Committee Powers

Section 8.01
The Executive Committee of the KYBA shall have the ultimate and full operational control of the affairs of the KYBA. Operational decisions not covered specifically within the Constitution and its By-Laws shall be made on the basis of a simple majority. The Executive Committee of the KYBA may, at its executive meetings, by a simple majority of those present and voting, establish, subject to the rules of Quorum as provided in Article XI of this Constitution, amend, revise, or repeal any of the rules and regulations governing the operating conditions of Article II of the Constitution, special playing rules, registration procedures, budget and fees, operational procedures, and activities and such other matters not stipulated within the Constitution and/or its By-Laws and as properly fall within the jurisdiction of the Executive Committee. Immediate notice of all such changes shall be forwarded to all affected members within the KYBA.

Section 8.02
The KYBA Executive Committee shall have the power to create committees or to appoint administrative bodies to perform specific duties as may from time to time be defined.
 
Section 8.03
The Executive Committee shall determine all questions arising from emergencies not provided for in the Constitution, the By-Laws, or published Policies.

Section 8.04
The KYBA Executive Committee shall approve all volunteers providing coaching, management or other services to the KYBA. This function may be delegated in whole or in part to one or more voting members of the Executive Committee when such delegation of responsibility is defined in the By-Laws. Furthermore, the Executive Committee may remove from office any volunteers other than voting Executive Committee members by a unanimous vote of the Executive Committee. The investigative procedure and evidentiary requirements to support the removal of a volunteer shall be defined in the By-Laws.
It is understood that Executive Committee members shall declare any conflict of interest prior to a vote on any issue and shall abstain from voting.

Section 8.05
The Executive Committee shall form a Discipline Committee, which shall deal with all disciplinary problems associated with players in KYBA programs. The format, composition, and guidelines of its operation shall be in accordance with the published policy regarding the Discipline Committee. The Executive Committee will have final jurisdiction in considering recommendations of the discipline committee for suspension of players and reviewing discipline committee decisions. Operational aspects of the Discipline Committee including but not limited to investigative processes, penalties and appeals procedure are defined in the By-Laws

Section 8.06
The Executive Committee shall review and approve the annual operating budget for the Association, and oversee the nature of recording financial transactions and supervise the collection of Association fees and funds of the Association and the expenditure of Association monies.

Section 8.07
The Executive Committee shall approve and/or select coaches or instructors for all programs. This responsibility may be delegated to the conveners of each division.


Article IX.            Amendments to KYBA Constitution

Section 9.01
The Constitution of the KYBA shall not be amended except at the AGM or a special general meeting convened specifically for that purpose. Notice of the proposed amendment shall be given to the Secretary in writing at least 30 days prior to the date of the meeting and shall be available to any interested party at least 15 days prior to the date of the said meeting.

Section 9.02
All proposed amendments to the Constitution shall require a 60% majority of those present and voting at the AGM, subject to the rules of Quorum as defined in Article XI of this Constitution. Sub-amendments to such amendments may be made and voted upon at the AGM provided that such sub-amendments shall not alter the original intent of the proposed motion.


Article X.             Amendments to By-Laws and Regulations

Section 10.01
The Executive Committee of the KYBA may, at its general meetings, by a 60% majority of those present and voting, subject to the rules of Quorum as defined in Article XI of this Constitution, establish By-Laws governing the conduct of meetings, voting, elections, duties of the Executive Committee conditions for membership, conduct and discipline, and conditions of appeals and protests and any other matters which properly fall within the jurisdiction of the KYBA. Such amendments to the By-Laws will be subject to ratification at the next AGM by a 60% majority.

Section 10.02
The Executive Committee of the KYBA may at its executive meetings, by a simple majority of those present and voting, establish, subject to the rules of Quorum as provided in Article XI of this Constitution, amend, revise, or repeal any of the Rules and Regulations governed by the Articles and By-Laws of the Constitution, house league playing rules, registration procedures, budget and fees, operational procedures and activities and such other matters as properly fall within the jurisdiction of the Executive Committee.


Article XI.            Meetings

Section 11.01
The Annual General Meeting of the KYBA shall be held, where possible, no later than the 30th day of June of each year. Its purpose shall be to review the activities of the past season, to carry out election of the Executive Committee, and to consider policies aimed at improving operations for the coming season in light of the stated aims and objectives, including constitutional amendments, ratification of changes to the By-Laws, and proposals for alteration to the Rules and Regulations.

Section 11.02
Notice of the date of the AGM shall be made at least 15 days prior to the proposed date. Distribution of such notice shall be made in the most effective means available to reach the greatest number of members, using such media as newspapers, area recreation association newsletters, etc. as is practicable.

Section 11.03
General meetings shall be at the call of the President or, as provided for by the By-Laws, upon receipt by the President of the executive of a request in writing from at least ten members to call a general meeting. The request shall include specific statements regarding the need for such a request and the President shall ensure that such a meeting is called within 30 days of receipt.

Section 11.04
If for any reason, a meeting, which has been requested by two or more members of the Executive Committee, has not been called by the President within two weeks after being requested, a meeting may be called and chaired by any elected member. Such meeting, subject to the rule of Quorum, shall be legal and constitutional.

Section 11.05
The Quorum for Executive Committee meetings shall be a simple majority of current elected officers of whom at least two must be the President, Vice-President, or Treasurer.

Section 11.06
Voting members at Executive Committee meetings of the KYBA shall include all elected and acclaimed members of the Executive. All voting executive committee members shall have the same voting rights and privileges. It is the executive committee member’s responsibility to declare his / her conflict of interest pertaining to any and all votes. Voting members at general meetings of the KYBA shall include all members of the KYBA who have reached the age of majority. Votes shall be carried out on the basis of one vote per individual present.

Section 11.07
Voting may also be conducted through an email voting process as defined in the email voting policy document. This policy is administered by the KYBA Secretary. The same rules for quorum and voting eligibility as votes conducted during a meeting are in force.

Section 11.08
Notice of executive meetings shall be given by the Secretary to all voting members as appropriate at least seven days prior to such meetings. Emergency meetings of the Executive Committee may be called without the usual seven days notice provided that Quorum of the Executive Committee agree to such a meeting.

Section 11.09
The Quorum for the AGM and General Meetings shall include at least a simple majority of elected members of the Executive Committee plus whatever other number of members of the KYBA are in attendance.

Section 11.10
The agenda for the AGM shall be prepared by the President and shall include, at a minimum, the following essential business:
1. Opening remarks
2. Approval of minutes
3. Approval of Agenda
4. President's Annual Report
5. Treasurer's Annual Report
6. Approval of the Treasurer's Report
7. Special reports as deemed necessary by the Executive Committee
8. Constitutional amendments
9. Election of the Executive Committee
 
Section 11.11
The mission of the KYBA to provide basketball for the youth of Kanata requires an open and free access to the KYBA’s decision-making process.

Section 11.12
Attendance at executive meetings shall be open to interested observers or invited guests who may be admitted to any meeting where the Chair grants permission;

Section 11.13
The AGM and all General Meetings shall be open to the general public. All voting shall be limited to those persons who are voting members of the KYBA in accordance with Article V.

Section 11.14
The KYBA President may request a closed session of the Executive Committee where only elected (voting) members may attend. Such meetings should be rare and should only be called in order to protect the privacy of a volunteer or player, or on the advice of the KYBA’s legal counsel.
 
Article XII.           Dissolution

Section 12.01
In the event of dissolution of the KYBA for any reason, any dispersement of the assets of the Association will be decided on by a vote of the membership at a general meeting called for that purpose.
